1. Acceptance of These Terms

These Terms of Use ("Terms") govern your access to and use of Invoice Assistant (the "Service"), operated by Praxium Pty Ltd (ABN 12 681 863 981) ("we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.


2. Eligibility and Authority

You must:

  • Be at least 18 years old, and
  • Have authority to bind the business or organisation you are acting for

If you use the Service on behalf of a business, you represent that you are authorised to do so.


3. Description of the Service

Invoice Assistant is a software-as-a-service application that:

  • Authenticates users via Google or Microsoft login
  • Connects to the user's email account to identify invoice emails and attachments
  • Extracts invoice data
  • Uploads invoices into Xero as draft invoices only, requiring final user review and approval in Xero

The Service does not approve, submit, or lodge invoices on your behalf.


4. Third-Party Services

The Service integrates with third-party services including:

  • Google
  • Microsoft
  • Xero

Your use of those services is governed by their respective terms and policies. We do not control, and are not responsible for, third-party services.

You acknowledge that the Service may be unavailable or impaired due to issues with third-party services.


5. User Responsibilities

You are responsible for:

  • Maintaining the security of your login credentials
  • Ensuring you have appropriate permissions to access connected email and Xero accounts
  • Reviewing all draft invoices created by the Service before approval
  • Ensuring accuracy, completeness, and compliance of accounting records
  • Complying with all applicable laws, including tax and record-keeping obligations

You must not rely solely on the Service for accounting, tax, or legal compliance.


6. Acceptable Use

You must not:

  • Use the Service for unlawful purposes
  • Attempt to access data not belonging to you
  • Interfere with or disrupt the Service
  • Reverse engineer or attempt to extract source code
  • Use the Service to process emails containing sensitive personal information unrelated to invoicing
  • Use the Service in a way that violates Google, Microsoft, or Xero policies

We may suspend or terminate access if you breach these Terms.


7. Data Handling and AI Processing

The Service may analyse email content and attachments using automated and artificial intelligence tools to identify invoices and extract invoice data.

You acknowledge that:

  • Processing is automated and may not be error-free
  • Extracted data must be reviewed by you before approval
  • Certain content may be deleted automatically if identified as sensitive

8. Availability and Changes

We aim to provide a reliable service but do not guarantee uninterrupted availability.

We may:

  • Modify or discontinue features
  • Add or remove integrations
  • Update the Service for security, compliance, or performance reasons

We are not liable for changes that affect how the Service operates.


9. Fees and Billing (if applicable)

If fees apply:

  • Fees will be disclosed prior to subscription
  • Fees are non-refundable unless required by law
  • We may change pricing with reasonable notice

If the Service is provided free or in beta, it is provided "as is".


10. Intellectual Property

All intellectual property in the Service, including software, branding, and documentation, is owned by Praxium Pty Ltd or its licensors.

You are granted a limited, non-exclusive, non-transferable licence to use the Service during your subscription.

You retain ownership of your data.


11. Confidentiality

We will treat your business data as confidential and handle it in accordance with our Privacy Policy.

You must not disclose confidential information relating to the Service or its operation.


12. Disclaimer

To the maximum extent permitted by law:

  • The Service is provided "as is" and "as available"
  • We do not warrant that the Service will be error-free, accurate, or suitable for your specific purposes
  • We do not provide accounting, tax, or legal advice

You use the Service at your own risk.


13. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, special, or consequential loss
  • We are not liable for loss of profits, revenue, data, or business opportunity
  • Our total liability arising out of or in connection with the Service is limited to the amount you paid us for the Service in the 12 months preceding the claim (or AUD $100 if no fees were paid)

Nothing in these Terms excludes liability that cannot be excluded under Australian law.


14. Indemnity

You agree to indemnify and hold harmless Praxium Pty Ltd from any claims, losses, damages, or expenses arising from:

  • Your use of the Service
  • Your breach of these Terms
  • Your misuse of third-party services or data
  • Inaccurate or unlawful invoices created or approved by you

15. Suspension and Termination

We may suspend or terminate your access if:

  • You breach these Terms
  • Required by law
  • Necessary to protect security or integrity of the Service

You may stop using the Service at any time.

Termination does not affect accrued rights or obligations.


16. Governing Law

These Terms are governed by the laws of Victoria, Australia.

You submit to the exclusive jurisdiction of the courts of Victoria.


17. Changes to These Terms

We may update these Terms from time to time. Updated Terms will take effect when published within the Service or on our website.

Continued use of the Service constitutes acceptance of the updated Terms.
